Vertiv Holdings Co. (NYSE: VRT) has announced that its subsidiary, Vertiv Corporation, will acquire Utility Innovation Holdings, Inc., known as UtilityInnovation Group (UIG), for approximately $1.45 billion in cash.
The acquisition will enhance Vertiv's capabilities in microgrid solutions, advanced power controls, and power architecture design for data centers.
The deal is anticipated to boost Vertiv's adjusted earnings per share within the first year after completion.
The transaction is slated to close in the fourth quarter of 2026.
J.P. Morgan Securities LLC is advising Vertiv on financial matters, while Buchanan Ingersoll & Rooney PC is providing legal counsel.
"For AI data center operators, competitive advantage increasingly depends on how quickly they can move from site selection to first token," said Gio Albertazzi, Chief Executive Officer, Vertiv. "Vertiv has the most complete power and cooling portfolio in the industry. With UIG, we anticipate extending that portfolio upstream to the utility interconnect and onsite power sources, creating a coordinated architecture from source to chip without tying customers to a single generation technology or supplier."
