TruGolf (TRUG) to Acquire Polymath Research in Stock Deal

TruGolf Holdings, Inc. (NASDAQ: TRUG) has announced an acquisition agreement with Polymath Research Inc., a Canadian technology firm specializing in regulated digital securities and tokenized financial instruments.

Under the terms of the agreement, TruGolf will acquire Polymath in exchange for shares of TruGolf Class A common stock and non-voting Series C preferred stock.

This acquisition will introduce one of the first regulated blockchains for tokenized securities to the public markets, positioning the combined entity at the forefront of a shift in the issuance, trading, and ownership of financial assets globally.

Polymath will become part of TruGolf, which will continue its listing on Nasdaq, and Polymath's shareholders will receive a combination of TruGolf Class A common stock and non-voting Series C preferred stock.

In conjunction with the acquisition, TruGolf plans to raise $3.0 million in gross proceeds from its existing Series A preferred stockholders at the time of closing.

The transaction is anticipated to be finalized in the third quarter of 2026.
