AEVEX Corp. (NYSE: AVEX), a prominent U.S. defense technology firm, has entered into a definitive agreement to acquire BlackSea Technologies, a major provider of unmanned surface and subsea vessels in the U.S. defense sector.
The transaction is valued at up to $650 million, structured as $250 million in cash and $350 million in AEVEX Class A common stock, priced at $27.50 per share, totaling approximately 12.7 million shares.
The acquisition is anticipated to conclude in September 2026, pending the expiration of the Hart-Scott Rodino Antitrust Improvements Act waiting period and other standard closing conditions.
Jefferies LLC is acting as the financial advisor for AEVEX, while Raymond James is the exclusive financial advisor for BlackSea Technologies.
